The Salt + Snow Mother’s Day Giveaway ("Giveaway") starts on April 13th and ends on April 18th at 12:00 am ET (such date, the “End Date”, and such period, the "Giveaway Period").

ELIGIBILITY

Giveaway is open to legal residents of the United States, 18 years of age or older as of April 18, 2022. Employees of Salt & Snow Inc. (“Salt + Snow”), a Delaware corporation, ("Sponsor"), and its affiliates and advertising and promotion agencies, and members of such employees’ immediate family (spouse and parents, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, are not eligible to enter or win. Void where prohibited by law. The Giveaway is subject to all applicable federal, state and local laws. By participating, each entrant agrees to abide by these Official Rules and decisions of Sponsor, which shall be final and binding in all respects relating to this Giveaway.

HOW TO ENTER

During the Giveaway Period, on the Giveaway Post on Instagram:

  1. Tag two friends you are celebrating this Mother’s Day;
  2. Direct those two friends to follow the Salt + Snow Instagram Account, @saltandsnow;
  3. Save the Giveaway post and share it in your stories (the more shares the better!) Upon completion of all of the above steps you will receive one entry (“Entry”). Multiple Entries are allowed. As an alternate method of Entry, you may enter through the Salt + Snow website at https://saltandsnow.com/.

REQUIREMENTS

Sponsor reserves the right to allow for minor deviations from the submission requirements and restrictions set forth herein, based on clear intent to comply with these Official Rules, as determined by Sponsor in its sole discretion. Entries generated by script, macro or other automated means or by any means which subvert the entry process are void. By submitting an Entry, entrant represents and warrants that the Entry conforms to these Official Rules and understands that Sponsor, in its sole discretion, may disqualify the Entry for any reason, including if it determines, in its sole discretion, that the Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content as determined by Sponsor, in its sole discretion.

USE OF ENTRIES

By submitting an Entry, entrant hereby grants to Sponsor, and their respective licensees, successors and assigns (collectively, “Licensed Parties”) an unlimited, perpetual, irrevocable, assignable, royalty-free, fully paid-up license to reproduce, distribute, create derivative works of, edit, alter, post, combine with other materials, exploit and otherwise use the Entry, and all elements embodied therein, in whole or in part, in any manner or media now known or hereafter devised throughout the world in perpetuity, for commercial and other purposes, without compensation, notification or permission from entrant or any third party. Licensed Parties shall be under no obligation to publish or otherwise use in any manner any Entry. Entrant agrees that Released Parties (as defined below) (i) are not responsible for any unauthorized use of Entries by third parties and (ii) do not guarantee the posting of any Entry and may take down any Entry at any time for any reason.

DRAWING

A random drawing will be conducted on April 18th, 2022 by Sponsor to select the winners from among all eligible entries received. Odds of winning depend on the number of entries received.

WINNER NOTIFICATION

Potential winner will be notified through Instagram direct message or email. If the potential winner submitted an entry through Instagram, the potential winner will be announced on the Salt+Snow Instagram profile. The potential winner may be required to execute an Affidavit of Eligibility, and a Liability and Publicity Release (unless prohibited by law), which must be returned within five (5) days of date appearing on prize notification. Return of prize or prize notification as undeliverable, failure to sign and return requested documentation within the specified time period, the inability of Sponsor to contact potential winner within a reasonable time period or noncompliance with these Official Rules by potential winner will result in forfeiture of prize and Sponsor shall have the option to award the prize to an alternate winner.

PRIZE

$500 (USD) credit on the Salt+Snow Online Marketplace at https://saltandsnow.com/.. All federal, state and local taxes are the sole responsibility of the winner. Winner may not substitute, assign or transfer prize, but Sponsor reserves the right, at its sole discretion, to substitute prize with one of comparable or greater value. All prize details are at Sponsor’s sole discretion.

RELEASE OF LIABILITY

By participating, each entrant agrees to release, indemnify, discharge and hold harmless Sponsor, and its affiliates and advertising and promotion agencies, and the respective licensees, successors, assigns, officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind (including punitive, incidental, and consequential damages), or expense (including attorneys' fees) to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Giveaway or any Giveaway-related activity, the acceptance, possession, use or misuse of the prize and/or Licensed Parties’ use of the rights granted herein. Some jurisdictions do not allow the limitations or exclusion of liability for incidental or consequential damages, so the above may not apply to you.

PUBLICITY GRANT

By participating, each entrant agrees to the use by Sponsor and its designees of his/her name, biographical information, image and/or likeness for advertising, publicity, promotional and other purposes, in whole or in part, in any manner or media now known or hereafter devised throughout the world in perpetuity, without further compensation, notification or permission, except where prohibited by law.

GENERAL CONDITIONS

Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled Entries, email or mail; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications; or for failed computer, satellite, telephone or cable transmissions, lines; or for technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; or for other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Giveaway, including, without limitation, errors or difficulties which may occur in connection with the administration of the Giveaway, the processing or judging of Entries, the announcement of the prize or in any Giveaway-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking or by any equipment or programming associated with or utilized in the Giveaway. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Giveaway. Persons who tamper with or abuse any aspect of the Giveaway, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Should any portion of the Giveaway be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness, or proper play, or submission of Entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Giveaway and, if terminated, at its discretion, select the potential winner from all eligible, non-suspect Entries received prior to action taken using the judging procedure outlined above or as otherwise deemed fair and appropriate by Sponsor. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE SALT + SNOW WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

CHOICE OF LAW AND FORUM

Entrant agrees that all matters arising out of or relating to this Giveaway and these Official Rules are governed by, and construed in accordance with, the laws of Delaware, without giving effect to any of its conflict of laws provisions thereof. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to this Giveaway and these Official Rules shall be brought exclusively through arbitration as described in the Salt + Snow Terms of Service available at https://saltandsnow.com/pages/terms-of-service.

PRIVACY

ENTIRE AGREEMENT

These Official Rules, the Privacy Policy and Terms of Service, incorporated fully by reference in these Official Rules, constitute the entire agreement between Salt + Snow and Entrant with respect to the subject matter of the Giveaway. The provisions of these Official Rules will supersede or replace any conflicting or additional provisions. These Official Rules may not be modified or amended except in writing signed by Salt + Snow. Where the context so admits, words and expressions appearing in the singular in these Official Rules may be interpreted in the plural, and vice versa.
